OYA LOYALTY PLATFORM - TERMS OF USE

1. INTRODUCTION

Welcome to the Oya Loyalty Platform ("Platform"). These Terms of Use constitute a legally binding agreement between you and Oya Loyalty Platform governing your access to and use of our loyalty program services, including all related features and functionalities. By registering for, accessing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. DEFINITIONS

"Platform" refers to the Oya Loyalty Platform, its website, mobile applications, and all related services.

"User," "you," or "your" refers to any individual who accesses or uses the Platform.

"Wallet" refers to your Solana-compatible cryptocurrency wallet that you connect to the Platform.

"Points" refers to the loyalty points earned through participation in the Platform.

"NFT" refers to non-fungible tokens on the Solana blockchain.

3. PROGRAM ELIGIBILITY

The Oya Loyalty Platform is available to individuals who are at least 18 years of age or the age of legal majority in their jurisdiction, whichever is higher. You must have a valid Solana-compatible wallet to access and use the Platform. You must provide accurate and complete information during registration and maintain the accuracy of such information. We reserve the right to refuse participation to any individual at our sole discretion without providing a reason.

4. WALLET CONNECTION AND AUTHENTICATION

To use the Platform, you must connect a compatible Solana wallet. By connecting your wallet, you authorize us to access your public wallet address for authentication, reward distribution, and activity tracking purposes. You acknowledge that we do not have access to your private keys or the ability to initiate transactions without your explicit approval. You are solely responsible for the security of your wallet, including safeguarding your private keys and recovery phrases.

5. USER ACCOUNTS AND PROFILES

After connecting your wallet, you may create a user profile by providing additional personal information. This information is optional but may enhance your experience on the Platform. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

6. LOYALTY POINTS

Earning Points

Points may be earned through qualifying activities including but not limited to purchases, referrals, social media engagement, participation in campaigns, completion of missions, and other activities as specified in our program communications. Point values and earning rates may vary by activity and may change at our discretion. Points will typically be credited to your account within 48 hours of a qualifying activity, though some verifications may take longer.

Point Value

Points have no cash value and cannot be sold, transferred, or exchanged except as explicitly permitted within the Platform. The conversion rate between points and rewards is subject to change. Points are not cryptocurrency tokens and do not represent any ownership interest or investment in the Platform.

Point Expiration

Points expire 12 months from the date they are earned unless otherwise specified in a particular campaign or promotion. We will provide reasonable notice before any changes to the expiration policy.

7. SOCIAL MEDIA INTEGRATION

You may connect your social media accounts to the Platform to participate in certain activities. By connecting these accounts, you authorize us to access publicly available information from these accounts and to monitor specific interactions (such as likes, follows, or retweets) for the purpose of verifying task completion. You acknowledge that we will only access the information and perform the actions you explicitly authorize. You may disconnect your social media accounts at any time, though this may affect your ability to participate in certain campaigns.

8. REFERRAL PROGRAM

The Platform provides you with a unique referral link that you can share with others. You may receive Points or other rewards when individuals you refer complete specified actions. You agree not to engage in spamming or any deceptive practices when sharing your referral link. We reserve the right to void referral rewards obtained through fraudulent or unethical means.

9. REWARDS REDEMPTION

Available Rewards

The selection of available rewards may change at any time and may include digital items, NFT whitelist spots, discounts, or other benefits. Reward availability is subject to inventory and may be limited.

Redemption Process

Points may be redeemed through the Platform interface. Once submitted, redemption requests cannot be cancelled or reversed. Rewards will be delivered according to the timeframe specified for each reward type. For blockchain-based rewards, you are responsible for any associated network fees.

Earning EXP

Users can earn EXP by completing tasks on the platform, including both social interactions and in-game activities.

Battle Pass Levels

Users will level up the battle pass based on the EXP earned. Each level-up may unlock rewards such as points and NFTs.

NFTs as Rewards

The battle pass progression will include NFTs that users can collect as they reach higher levels. These NFTs will have specific utility or benefits within our ecosystem.

SBTs as Rewards

The battle pass progression will include SBTs that users can collect as they reach higher levels. These SBTs will have specific utility or benefits within our ecosystem. They are not tradeable because these assets are soul bound.

Terms of Use for NFTs and Points

As part of this feature, we will need to specify the terms under which the NFTs are awarded, transferred, or used, including any potential resale or usage restrictions.

10. NFT WHITELIST GIVEAWAYS

The Platform may offer opportunities to participate in NFT whitelist giveaways. Participation in these giveaways is subject to additional terms that will be provided at the time of the giveaway. Selection for whitelist spots may be based on activity levels, random selection, or other criteria as specified. Being selected for a whitelist does not guarantee the ability to mint an NFT, which remains subject to availability and any terms set by the NFT project.

11. LEADERBOARDS

The Platform may display leaderboards showing user rankings based on points earned or other metrics. By participating in the Platform, you consent to having your wallet address, username (if provided), and performance metrics displayed on public leaderboards. Leaderboard positions are not guaranteed and may change based on user activity and periodic resets.

12. PROGRAM MODIFICATIONS

We reserve the right to modify or terminate the Oya Loyalty Platform at any time. Changes may include, but are not limited to: point earning rates, redemption values, expiration policies, available rewards, and program benefits. We will provide reasonable notice of material changes through the Platform or via email if you have provided one. In the event of program termination, we may provide a reasonable period for you to redeem accumulated points.

13. PROHIBITED CONDUCT

You agree not to engage in any of the following prohibited activities:

  • Creating multiple accounts to earn additional points or rewards
  • Using automated means or scripts to interact with the Platform
  • Manipulating or gaming the system to earn undeserved points
  • Engaging in any activity that disrupts or interferes with the Platform
  • Attempting to access private data or breach Platform security
  • Violating any applicable laws or regulations
  • Impersonating another user or entity

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspending or terminating accounts, forfeiting points, and seeking legal remedies.

14. TERMINATION

We may suspend or terminate your participation for violation of these Terms, fraudulent activity, inactivity exceeding 18 months, or any other reason at our sole discretion. Upon termination, any accumulated points may be forfeited. You may terminate your participation at any time by disconnecting your wallet and requesting account deletion through our support channels.

15. INTELLECTUAL PROPERTY

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Oya Loyalty Platform or its content suppliers and is protected by international copyright laws. You may not use, reproduce, or distribute any Platform content without our express written permission.

16. DISCLAIMER OF WARRANTIES

The Oya Loyalty Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for the accuracy, reliability, timeliness, or completeness of information provided through the Platform.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with your use of the Platform. Our total liability for any claims arising from these Terms shall not exceed the amount of points in your account at the time of the claim.

18. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Oya Loyalty Platform and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform.

19. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of British Virgin Islands, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the courts of British Virgin Islands.

20. CHANGES TO TERMS

We may update these Terms from time to time. We may or may not notify you of material changes through the Platform or via email. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
